Deals this week: Extraction Oil & Gas, PetroFrontier, Secure Energy

Extraction Oil & Gas Holdings, LLC has announced the pricing for the private placement of senior unsecured notes, due in 2021. The offering has also been upsized from $500m to $550m.

The senior unsecured notes bear a coupon rate of 7.875% per year. The private placement is scheduled for closure on 18 July 2016.

The amount raised from the offering is intended to be used by the company to repay its outstanding liabilities.

PetroFrontier Corp. has agreed with Kasten Energy Inc. to acquire 9,920 acres of land within the Cold Lake area of north-eastern Alberta, Canada.

The deal implies a purchase consideration of approximately $13.3m, which will be funded by PetroFrontier through a combination of cash and issuance of common shares, as well as secured debentures.

GMP Securities L.P. is the financial advisor to PetroFrontier on the deal.

Secure Energy Services Inc. has completed the acquisition of the remaining 50% stake in La Glace and Judy Creek facilities in Alberta, Canada.

The $20.41m transaction has been funded by Secure Energy through an existing loan facility.

Secure Energy now owns 100% stake in the two full service terminals, which offer processing, recovery and disposal services to oil and gas companies.

EnLink Midstream Partners, LP has announced pricing of senior notes, due on 15 July 2026. The company plans to raise approximately $500m from the issue of notes, which bear a coupon rate of 4.85%.

Upsized from the previously announced amount of $400m, the offering is scheduled for completion on 14 July 2016.

Comerica Securities, Inc. is the underwriter to the company for the offering, while Baker Botts L.L.P. is the legal advisor.

The amount received through the offering is intended to be used to repay outstanding liabilities under its revolving credit facility and for general partnership functions.

Diamondback Energy, Inc. has signed a definitive purchase agreement with Luxe Energy LLC to acquire 38,765 gross (19,180 net) acres in Reeves, Ward and Pecos counties in the southern Delaware Basin, Texas, US.

The $560m transaction will be funded through a combination of cash in hand, and a $491m public offering announced in July 2016.

Scheduled for completion in September 2016, the deal will allow Diamondback Energy to enter Southern Delaware Basin.
